Misrepresentation是英美法律中的一个重要概念，关于它的中文翻译有很多。本文试通过追本溯源，力求找到一个最为贴切的中文对应翻译词。

在两岸三地的汉语区，内地以虚假陈述表示misrepresentation居多，香港则以失实陈述，而台湾地区以不实陈述。在多种可能中，香港的译法“失实陈述”最为贴切，台湾次之。

本文的目的，希望在探讨misrepresentation中文翻译的基础上，统一中文的概念指代，进而作为探讨证券、广告，以及其他民事活动中的虚假陈述行为及法律后果的基础。

作为一个法律概念和专有名词，如果misrepresentation具有一个简洁、固定且准确的中文对译词将是非常方便交流的。但目前英汉词典对于misrepresentation的解释有各种中文表达。

从造字结构来说，misrepresentation可以分割为 mis+re+present+ation。撇除名词化的词缀-ation，就是动词misrepresent。Misrepresent就是将已发生的事实，通过口头（书面、绘画）等各种方式再次的在当下展示出来，但在展示的时候，与事实的真相发生了偏离，存在差异，或称之为错误。

(1) 词根mis-表示“偏离”，并逐渐演变而带有贬义。

词根mis-有多个。根据Online Etymology Dictionary（Etymonline.com）的解释，词根mis-在之一下，原始的含义是“偏离”（divergent, astray），后来逐渐演变带有“不好、坏的”（bad, wrong）的含义。“偏离”的结果，就是与正确的或预定的目标有“出入”（difference, change）。

(2) present、represent (v.) 和 representation

根据Online Etymology Dictionary对represent的溯源和解释，笔者是这样理解的：

Present作为形容词，表示的是“当下、现在、眼前”的状态。作为动词，表示的是“呈现、呈上、呈献”的意思，也就是“将物放到眼前”。进一步延伸表示“展现，显示，表现、描绘”、“（口头或书面）表达，表示”等抽象意义，也就是将想法等通过绘画、文字等各种方式展示出来，表达出来。misrepresent中的present就是这种最末这种意思。

词根re- 具有表示重复、强调的含义。represent也就可以理解为将已发生的事实通过各种方式再一次在当下展示出来。

Representation是represent的名义形式，具有一样的意思，也就是“将已发生的事实通过各种方式在当下展示出来”。

在此基础上，进一步发展出“就事实作出的陈述（statement made in regard to some matter）”的意思，而这一层意思，恰恰与本文探讨的misrepresentation直接关联。

Oxford Dictionary of Law 牛津法律词典misrepresentation作如下详细解释

n. An untrue statement of fact, made by one party to the other in the course of negotiating a contract, that induces the other party to enter into the contract.

A false statement of law, opinion, or intention does not constitute a misrepresentation; nor does a statement of fact known by the representee to be untrue.

Moreover, unless the representee relies on the statement so that it becomes an inducement (though not necessarily the only inducement) to enter into the contract, it is not a misrepresentation.

The remedies for misrepresentation vary according to the degree of culpability of the representor, If he is guilty of fraudulent misrepresentation (i.e. if he did not honestly believe in the truth of his statement, which is not the same as saying that he knew it to be false) the representee may, subject to certain limitations, set the contract aside by rescission and may also sue for damages. If he is guilty of negligent misrepresentation (i.e. if he believed in his statement but had no reasonable grounds for doing so) the representee was formerly entitled only to rescission but may now (under the Misrepresentation Act 1967 or by an action in tort for negligence) also obtain damages. If the representor has committed merely an innocent misrepresentation (one he reasonably believed to be true) the representee is restricted to rescission, subject to the discretion of the court under the 1967Act to award him damages in lieu. A representee entitled to rescind a contract for misrepresentation may decide instead to affirm it. See also MISDESCRIPTION; NONDISCLOSURE.

上述解释是基于英国法的，但美国法，以及其它英美法国家有大致相同的规定或司法实践。鉴于本文探讨的正是英美法下的misrepresentation，所以引用上述解释是恰当的。

需要特别指出的是，misrepresentation分为3种类型，fraudulent misrepresentation 、negligent misrepresentation和innocent misrepresentation。3种类型体现了作出misrepresentation的人具有的不同的过错程度（culpability）。从另外一个角度来说，misrepresentation本身只是一个中性的词，而不是单纯贬义的词。这一点在选择中文翻译的时候是需要注意的。

Misrepresentation和fraud是密切关联的法律概念。很多人常常将此误解为同义词。但实际上，这两个概念是有差别的。细微区别在于，每一起fraud（欺诈）都是misrepresentation，但不是所有misrepresentation都是fraud（欺诈）行为。这从fraudulent misrepresentation可见一斑。

从misrepresentation的造字结构来说，包括 mis+representation，所以中文翻译也可以分成两部分分别翻译。

(1) mis-：虚假 虚伪 错误 不实 失实

词根mis-的备选翻译有虚假、虚伪、错误、不实、失实等等。

前文提及，misrepresentation是一个中性词，misrepresentation这一词包括各种情形，既有故意的说错（fraudulent misrepresentation），也包括无心的说错（innocent misrepresentation）。

“虚假”指与实际不相符合，多形容人的言行或事物，如虚假的情况，虚假的因素。“虚伪”，形容弄虚作假，不诚实，多指人的言语、行为、作风、态度、道德、品质等，如他为人十分虚伪。错误，形容词。不正确，与客观实际不符合。贬义词。错误也有名词用法，指不正确的事物、行为等。

错误、虚假、虚伪，这三者都带有一定的贬义，并且贬义性质由弱渐强。错误更偏向中性。另外“失实”、“不实”在含义上更趋于中性。各相比较，似乎“失实”或“不实”最为恰当。

(2) Representation：陈述 表示 说明 表述

表示，就是将内心的想法、话语用语言、绘画等各种方式“向外”讲明。陈述的“陈”体现的是一件件、一条条有序有条理的讲述。表述就是对外叙述、讲明。说明，用言语或文字来解释明白。

这几个词，意思很接近。相比较而言，“表示”更侧重主观的想法，而“表述”更侧重对客观事物的说明。“陈述”则兼而有之，如陈述客观事实，陈述最后意见。“说明”则侧重“解释”，具有“补充”的含义

综合来看，用陈述作为representation的对应翻译是更为恰当和准确的。Representation本身就包括对客观事实和主观意见的叙述。

在香港地区，有一专门的《失实陈述条例》( Misrepresentation Ordinance )，在其他的法律法规中，对misrepresentation的表达较为一致，均以“失实陈述”表示。

在台湾地区，法律法规没有直接有关misrepresentation的相关条文，但学术类文章多用“不实陈述”来表达，此外还有“不实说明”的表达。

在大陆，与misrepresentation有关的法律主要集中在证券法领域。在这一领域，已形成了“虚假陈述”的固定表达。但学者在讨论misrepresentation还有“不实陈述”、“不实表示”等其他表达方式。
