纳斯达克迪拜(NASDAQ Dubai)是阿联酋一家证券交易所,总部位于迪拜,其上市公司主要为中东地区的本地和国际股份。该交易所区域包括:阿联酋,海湾合作委员会,中东和北非地区,土耳其和印度次大陆。

纳斯达克迪拜的大股东是迪拜金融市场。2010年5月,迪拜证交所和纳斯达克OMX集团收购其三分之二的股份,2010年5月。迪拜证交所仍持有该交易所三分之一的股份。纳斯达克迪拜证券交易所位于金融区迪拜国际金融中心。它是由迪拜金融服务管理局负责监管。

纳斯达克迪拜在迪拜国际金融交易所名义下于2005年9月26日推出。它在2007年挂牌上市,并是中东地区最大的首次公开募股公司。2008年,纳斯达克OMX集团收购其三分之一股份,并更名为纳斯达克迪拜。剩余三分之二是由迪拜证交所,纳斯达克迪拜控股公司和迪拜金融市场共同所有。

2008年,纳斯达克迪拜推出阿联酋第一个股本衍生工具市场。2010年,该交易所回购三分之二的股份,纳斯达克迪拜与迪拜证交所保留其三分之一的股份。在2013年,该交易所推出固定收益交易平台,让投资者可以交换或交易伊斯兰债券和传统债券。

2013年10月,伦敦银行和中东(BLME)股票在纳斯达克迪拜上市。在2014年4月,阿联酋房地产投资信托基金在该交易所上市。阿联酋房地产投资信托基金募集到2.01亿美元资金和3.5倍的超额认购。

在纳斯达克迪拜上市的产品包括由迪拜环球港务集团上市普通股。DP World是中东地区最大规模的首次公开募股公司,并筹集到49.6亿美元资金。它是15倍的超额认购,是该地区最有价值的公司之一。该交易所是全球第三大伊斯兰债券交易所。该交易所还经营伊斯兰融资穆拉巴哈平台。

纳斯达克迪拜主席为阿卜杜勒·瓦希德阿尔·法希姆,首席执行官为哈米德·阿里,产品包括:股权交易、固定收益、衍生产品、市场数据、穆拉巴哈融资平台。

据秉越资本投行人士介绍,纳斯达克迪拜证券交易所是阿联酋地区打造的面向亚非地区的“纳斯达克”市场。美国纳斯达克证券交易所作为其大股东,占股76%,从一定程度上为纳斯达克迪拜交易所提供了更大的背书。中国企业在一带一路政策东风的引导下必然会有很多企业赴纳斯达克迪拜上市。2018年9月,纳斯达克迪拜证券交易所为中国企业做出了专门的上市推荐网站,直接将纳斯达克迪拜上市官网改为中英文双版,从动作的迅速程度,也能看出纳斯达克迪拜对中国企业的欢迎以及对中国政策的支持。目前还没有中国企业在纳斯达克迪拜证券交易所上市,对于中国的企业家来说,做第一个吃螃蟹的企业还是非常具有吸引力的。

目前已经有数家企业在交易所完成CSD挂牌,包括中东著名汽车制造厂商W Motors。W Motors旗下包括莱肯超跑(Lykan HyperSport)和芬尼尔超跑(Fenyr SuperSport),单车售价340万美元,如果在中国出售,计算上关税和其他费用,售价高达6600万人民币。

中央证券存管协议(Central Securities Depository, CSD)为私有公司提供了不需公开上市就可利用交易所先进的证券管理设施实现更为标准化的公司治理,为公司未来的公开上市打下坚实基础。交易所通过CSD代表私有公司集中管理其股权,私有公司的所有股份都以与在交易所上市的公司完全相同的方式在中央证券存管处持有。加入CSD之后,股东需要通过其开户的本地经纪商进行股票买卖,这种交易是在场外进行的,但是股份所有权的转移是在交易所的中央证券存管处中进行。

CSD挂牌旨在帮助那些拟在纳斯达克迪拜证券交易所主板(Main Board)以及中小板(SME Market)公开上市的企业提供一个熟悉和了解作为一家拟上市公司的运作规范。其好处包括:

Abdul Wahed Al Fahim is a member of the Board of Directors of Commercial Bank of Dubai, Dubal Holding, Emirates Global Aluminium, Emirates Development Bank, Meydan City Corporation and Union National Bank. Edward Knight is Executive Vice President, General Counsel and Chief Regulatory Officer of Nasdaq (NASDAQ: NDAQ), the world's largest exchange. Mr. Knight served as the Chief Legal Officer of the National Association of Securities Dealers (NASD, now FINRA) from June 1999 until becoming Nasdaq General Counsel in 2001. In his role as General Counsel, Mr. Knight is responsible for providing legal counsel to senior management and for overseeing the quality of legal services across the global organization. He is also responsible for government relations, listing qualifications, market regulation and the office of economic research. In addition, Mr Knight oversees the Office of Corporate Secretary, which is responsible for all of Nasdaq’s corporate governance activities and maintaining the Corporate Record.

H.E. Essa Kazim is Governor of the Dubai International Financial Centre (DIFC). He is the Chairman of Borse Dubai and Chairman of Dubai Financial Market. He is a Member of the Dubai Supreme Fiscal Committee and Deputy Chairman of the Supreme Legislation Committee.

He began his career at the UAE Central Bank in 1988 and moved to the Dubai Department of Economic Development as Director of Planning and Development in 1993. He was subsequently appointed as Director General of DFM from 1999 to 2006.

H.E. Essa Kazim holds an honorary Doctorate from Coe College, a Master’s degree in Economics from the University of Iowa, a Master’s degree in Total Quality Management from the University of Wollongong, and a Bachelor’s degree from Coe College. 

He  currently sits on a number of official advisory committees and boards; he is a Member of the Higher Board of Directors of the Dubai International Financial Centre (DIFC), Chairman of the DIFC Authority Board of Directors, Chairman of the DIFC Investments Board of Directors, Free Zones Council, Noor Bank, Nasdaq, Inc., Etisalat and Member of the Board and Secretary General of the Dubai Islamic Economy Development Centre.

George Möller is a Member of the Advisory Board of the UAE Securities & Commodities Authority. He also holds several other non-executive directorships with Boards. He is Chairman of the Board of Verenigd Bezit, Naarden and Chairman of the Board of Erven A.de Jager, Groningen(both family foundations); Chairman of the Board of Inbox Storage, Gouda and Board Member of Winton Futures Fund, British Virgin Islands.

Jamal Nasser Lootah was Assistant Undersecretary for Industrial Affairs at the UAE Ministry of Finance and Industry from 2003 to 2009. Earlier he held senior positions in the ministry starting in 1989 including Head of Unit for Monetary Coordination section and Finance, GCC Department, Head of Investment Department, and Director of Budget Department. He was also Assistant Undersecretary for Property & Procurement Affairs and Revenue & Budget.

He is a former Chairman of the Governing Board of the OPEC Fund for International Development, Vienna, Austria. He is a former Board member of UAE Central Bank; Emirates Real Estates Corporation; the UAE Marriage Fund; Islamic Development Bank; Gulf Organization for Industrial Consulting; Arab Industrial Development and Mining; Emirates Industrial Bank and Gulf Navigation.

Mr. Lootah is a former UAE member of the National Committee of the World Trade Organization and a former member of the National Committee for Environmental Strategies and Sustainable Development. Majid Saif Al Ghurair is the Chief Executive Officer of Al Ghurair Group, one of the largest family-owned corporations in the United Arab Emirates, with businesses spanning a broad variety of industry sectors including retail, industrial manufacturing and real estate.

Mr. Al Ghurair currently holds numerous roles in public and private sectors in UAE. He is the Chairman of Dubai Chamber of Commerce & Industry and Chairman of the Dubai Shopping Malls Group (DSMG).  He is also a Board Member of National Cement Co., the Dubai Islamic Economy Development Centre (DIEDC), and Al Etihad Credit Bureau.

Mr. Al Ghurair was involved in the formation of the Middle East Council of Shopping Centers (MECSC). He was the Chairman of MECSC since its inception in 1994 for around 23 years, and his contributions to the shopping centers industry are immeasurable.

Previously, Mr. Al Ghurair had numerous prominent positions in different industries,  including Chairman of Drake & Scull Int’l, Chairman of Shuaa Capital PSC, Board Member of Mashreq Bank and Board Member of Investcorp Bank  BSC.

Mr. Al Ghurair is a graduate in Accounting from UAE University, Al Ain, and was awarded the ‘Business Leader Personality of the Year 2004’ in the United Arab Emirates by H.H. Sh. Mohamed Bin Rashid Al Maktoum.

Rashid Al Shamsi is the Vice Chairman of Dubai Financial Market.

He is the founding partner of MEECON, an architectural and engineering project management consultancy and owner of Al Shamsi Property Management Company in Dubai. 

He was the General Manager of Emirates General Petroleum Corporation (Emarat) and chaired several Emarat joint ventures and subsidiary companies.  He is a   former member of the Board of Directors of Dubai Chamber of Commerce and  Industry,  Dubai Mercantile Exchange,  Emirates General Transport Corporation and Gulf Navigation (PJSC).

He is a  former CEO of Sama Dubai, the international real estate development arm of Dubai Holding.

Mr. Al Shamsi was actively engaged in the marketing and distribution of energy-related products for over 22 years. He received his Bachelors of Science degree in Civil Engineering from the University of Southern California, USA.
